Your use of the websites, services, platforms, communication tools and applications on which these terms appear, including each of their functionalities (collectively, the "Platform") owned or controlled by CLIP BOOM, SOCIEDAD LIMITADA ("ClipBoom"), and your participation in Client Campaigns (defined below) are subject to these Terms and Conditions for Clippers ("Terms").
Please read these Terms carefully before using the Platform and participating in any Client Campaign. You may be referred to herein as "you" or "Clipper" and ClipBoom may be referred to as "ClipBoom" or "we".
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM AND/OR PARTICIPATING IN CLIENT CAMPAIGNS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BY OPENING, USING OR DOWNLOADING OUR PLATFORM, CREATING AN ACCOUNT ON THE PLATFORM, PARTICIPATING IN A CLIENT CAMPAIGN OR OTHERWISE CLICKING "[ENVIAR/ACEPTAR]" (SUBMIT/ACCEPT), YOU ACCEPT AND ARE BOUND BY THESE TERMS, WHICH INCLUDE OUR PRIVACY POLICY.
Please also read ClipBoom's related Terms of Use and Privacy Policy (both incorporated herein by this reference).
IF YOU DO NOT MEET THE ELIGIBILITY REQUIREMENTS OR DO NOT AGREE WITH THESE TERMS, YOU MAY NOT USE THE PLATFORM.
We reserve the right to modify, suspend or terminate the Platform at any time with or without prior notice.
1. Purpose, Operation of the Platform and Eligibility
1.1 Purpose and Operation
ClipBoom is a clip distribution and amplification platform that connects brands, agencies, creators, celebrities and other entities and individuals (collectively, the "Clients" or "Advertisers") with Clippers (creators and editors of audiovisual content), with the aim of promoting campaigns through content published on social media.
ClipBoom acts as a technological intermediary, facilitating campaign management, metrics verification and payment administration. Clippers may participate in Client Campaigns to potentially earn Payments.
1.2 Intermediation and Custody of Funds
The funds contributed by the Advertisers may be held by ClipBoom as custodian until compliance with the requirements of each campaign is verified, at which point the corresponding payment to the Clipper will be enabled.
Client Campaigns are published before the funds paid by the Client to ClipBoom have been settled. If for any reason such funds do not arrive, ClipBoom may cancel the Client Campaign without issuing any Payment, even if the submissions have already been approved. Participation in Client Campaigns whose funds have not yet been settled is at your own risk.
1.3 Eligibility
To be eligible to use the Platform and participate in Client Campaigns, you must:
(a) Be a legal resident in the territories and jurisdictions in which we have made the Platform available;
(b) Be 18 years of age or older, and of the age of majority in your country or jurisdiction of residence; and
(c) Complete the account registration process, including registering at least one (1) social media account on the eligible social media platforms.
The eligible social media platforms are determined and communicated to you by ClipBoom at its sole discretion through the Platform. If you are a legal resident in an ineligible jurisdiction or are under 18 years of age, or do not complete the account registration process, you may not use the Platform.
The Platform is not directed at, nor intended for use by, minors. Minors must not use the Platform or submit any information to ClipBoom.
By accepting these Terms, you represent and warrant to us that: (i) you are at least 18 years old; (ii) you have not previously been removed or banned from using the Platform; (iii) your registration and use of the Platform comply with all applicable laws and regulations; and (iv) you provide truthful, complete and up-to-date information.
2. Account Creation and General Description of the Platform
2.1 Account
To access and use the Platform, including publishing Clipper Content, re-sharing Client Content, or receiving Payments, eligible Clippers must complete ClipBoom's verification and registration process, which includes:
(i) Verifying ownership of any social media account(s) from which you want to publish content;
(ii) Linking your social media accounts with ClipBoom and agreeing to allow the applicable social platforms to share information, data and metrics with ClipBoom; and
(iii) Signing up with our third-party payment service providers to receive Payments.
Once you create an Account on the Platform ("Account"), you will be verified and will officially become a Clipper subject to these Terms. You must provide us with current, complete and accurate information. Limit of one (1) Account per person/email address.
You may not create Accounts with multiple email addresses or identities. Any Clipper who attempts to create multiple Accounts may be terminated from the Platform and lose all associated Payments.
It is your responsibility to maintain the confidentiality of your login credentials and Account. You are fully responsible for all activities that occur under your Account. You agree to notify ClipBoom immediately of any unauthorised use.
If you suspect that your account has been compromised, you must notify us immediately at team@clipboom.io.
ClipBoom reserves the right to suspend or cancel accounts that breach these requirements.
2.2 Payment Provider Registration Process
To be eligible to receive Payments, you must register with and be approved by our payment processor/provider. ClipBoom has no control over the outcome of these third-party reviews.
You acknowledge and agree that ClipBoom is not a bank, money transmitter or financial services provider. All financial services are handled by our payment processor.
3. Client Campaigns
3.1 Availability and Eligibility
Clients may make certain campaigns available on the Platform from time to time ("Client Campaigns"). Some Clippers may not be eligible to view or participate in certain Client Campaigns. ClipBoom and the Client will determine which Clippers are eligible at their sole discretion.

(i) Sharing or reposting content owned by the Client or provided by the Client ("Client Content"); or
(ii) Creating, providing and publishing your own unique content as requested by the Campaign requirements ("Clipper Content").
For example, if you create a short-form clip of long-form Client Content, that short clip will be Client Content. Any unique content you create that does not constitute Client Content or ClipBoom Content will be Clipper Content.
3.2 Briefing and Campaign Requirements
Each Client Campaign will include a mandatory Briefing. The start and end dates, required actions, payment terms, publishing guidelines, minimum views/impressions thresholds, Content Requirements and eligible platforms will be disclosed within the Platform.
The Briefing may set out, among other things:
- Creative and tone guidelines
- Mandatory tags, mentions or advertising notices

The Clipper undertakes to comply strictly with the Briefing. Non-compliance may give rise to penalties in accordance with these Terms.

Clients will review Clipper Content after it is published. A notice of approval or rejection will be sent to you by email or other methods. Clipper Content that violates these Terms or the Content Requirements may result in a recovery of previously distributed Payments or the cancellation of pending Payments.
ClipBoom does not endorse or assume responsibility for the Clipper Content published by Clippers or the Client Content.

Neither you nor anyone working on your behalf has or will:
(A) Exaggerate, inflate or artificially, fraudulently or deceptively affect the size of your followers, subscribers, likes, shares or comments;

The following are also expressly prohibited: the use of bots, click farms or artificial traffic; the manipulation of metrics; and unauthorised paid advertising, as well as any method intended to inflate results.
If ClipBoom determines that you have engaged in Fraudulent Activity, ClipBoom may terminate your access to the Platform immediately, proceed with the cancellation of the account, loss of unwithdrawn funds, and reserve the right to initiate civil or criminal legal action. You must delete any published Clipper Content.
4.3 Prohibition of Spam and Paid Advertising
Neither you nor anyone working on your behalf may:

6.3 Licence over Clipper Content
By creating, submitting or publishing any Clipper Content in connection with the Platform or a Client Campaign, you grant ClipBoom (and our Clients) an irrevocable, non-exclusive, sublicensable, worldwide, fully paid-up, royalty-free and perpetual right and licence to use your Clipper Content in all media now known or developed in the future.

8. Rewards, Payments and Earnings System
8.1 Remuneration Model

Views will be verified through official social media APIs and/or ClipBoom's internal systems.
ClipBoom and the Client will determine which Client Campaigns, Clippers and engagements are eligible for Payments at their sole discretion. Some Client Campaigns will not be eligible for Payments.
8.2 Distribution of Payments
Payments will be distributed through a payment service provider identified by ClipBoom. You will be required to register with the designated service provider. ClipBoom applies a platform commission of five per cent (5%) on the gross amount of each Payment, which is deducted before its distribution. The gross amount, the commission and the net amount you will receive are shown in the breakdown of each payout.
Payment service providers may deduct certain fees. ClipBoom is not responsible for such deductions.
8.3 Payment Conditions
When the publication of Clipper Content by you is approved under a Client Campaign, and you have satisfied all the requirements of the Campaign, including the minimum views/impressions thresholds, you may earn the established Payments.
Payments will be subject to withdrawal minimums and operational timeframes. ClipBoom may withhold payments in the event of review, dispute or suspected fraud. The Clipper acknowledges that the amounts may vary according to campaign rules.
